BUZZER.AI TERMS OF SERVICE
These Terms of Service ("Terms") govern your access to and use of the Buzzer.ai platform, website at https://buzzer.ai (the "Website"), APIs, and all related AI-powered telephony integration, omnichannel customer experience, and communication services (collectively, the "Services"), provided by Buzzer.ai Ltd. ("Company," "Buzzer," "we," "us," or "our"). The Services include, without limitation, AI agent deployment, human-agent workflows, voice processing, transcription, summarization, and text-based communication capabilities delivered via SaaS or on-premise deployment models.
1. ACCEPTANCE OF TERMS
By accessing or using the Services, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization. If you do not agree to these Terms, you must not access or use the Services.
THESE TERMS CONSTITUTE A BINDING LEGAL AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
2. DEFINITIONS
- "Customer Data" means all data, content, and communications (including voice data, transcripts, summaries, text messages, and metadata) that you or your end users transmit, process, or store through the Services.
- "AI Agents" means the artificial intelligence-powered software agents provided as part of the Services, including voice agents, text-based agents, and copilot/assist agents that operate within telephony and communication workflows.
- "Supported Channels" means communication channels through which the Services may operate, including but not limited to voice/telephony, WhatsApp, SMS, email, Facebook Messenger, Instagram, TikTok, Telegram, Line, and other text-based communication platforms.
- "On-Premise Deployment" means a deployment model in which the Services are installed and operate within the Customer's own infrastructure, as distinct from a cloud-hosted SaaS deployment.
- "Third-Party Platforms" means external services, APIs, communication platforms, telephony systems, and AI model providers that the Services integrate with or depend upon.
3. YOUR ACCOUNT
- You are responsible for maintaining the security and confidentiality of your account credentials. You are fully responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized access to or use of your account.
- You represent and warrant that all information provided during registration is accurate and complete. Accounts registered by automated methods ("bots") are not permitted.
- Our collection and processing of personal data is governed by our Privacy Policy.
- You may not use the Services for any unlawful purpose or in violation of any applicable law or regulation.
4. DESCRIPTION OF SERVICES
Buzzer provides an AI-powered integration layer for telephony and omnichannel communication systems. The Services enable:
- Deployment of AI Agents that operate within existing telephony infrastructure (PBX, contact center platforms, VoIP systems) and across Supported Channels.
- Real-time voice processing, transcription, and summarization of communications.
- AI-assisted and AI-automated workflows alongside human agents within the same operational environment.
- Integration with Customer's existing systems, databases, and third-party applications.
- Both SaaS (cloud-hosted) and On-Premise Deployment models, depending on Customer requirements.
5. CUSTOMER RESPONSIBILITIES
- Lawful Use. You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards, including but not limited to data protection laws (GDPR, CCPA, HIPAA where applicable), telecommunications regulations, call recording and consent laws, and financial services regulations.
- End-User Consents. You are responsible for obtaining all necessary consents, authorizations, and notices from your end users, customers, and any individuals whose communications are processed by the Services. This includes, where required by law, consent for AI-assisted communication, call transcription, data processing, and automated decision-making.
- Third-Party Platform Compliance. Where the Services operate through Third-Party Platforms (e.g., WhatsApp, Messenger, telephony carriers), you are responsible for complying with the terms of service and acceptable use policies of those platforms. Buzzer is not responsible for changes, restrictions, or enforcement actions imposed by Third-Party Platforms.
- AI Oversight. You acknowledge that AI Agents may produce outputs that are inaccurate, incomplete, or contextually inappropriate. You are responsible for implementing appropriate human oversight, review processes, and quality assurance measures for AI-generated outputs, particularly in regulated industries or high-stakes decision contexts.
- Data Accuracy. You are responsible for the accuracy, quality, and legality of Customer Data provided to or processed through the Services.
6. FEES AND PAYMENT
- General. You agree to pay fees in accordance with the applicable pricing schedule or as set forth in a signed order form, statement of work, or purchase order ("Order").
- Taxes. Unless otherwise stated in an Order, all fees are exclusive of applicable taxes. You are responsible for payment of all taxes imposed on or with respect to the Services.
- Credit Card Payments. If you pay by credit card, you are responsible for ensuring sufficient funds or enabling auto-recharge to cover all fees due.
- Invoice Payments. If invoicing is agreed in writing, invoices are issued monthly via email. Payment is due within thirty (30) days of the invoice date. Late payments accrue interest at 1.5% per month on the outstanding balance.
- Suspension for Non-Payment. We may suspend or terminate the Services upon non-payment. We shall have no liability for damages arising from such suspension or termination.
7. API AND INTEGRATIONS
You may access the Services via APIs and integration interfaces. All API usage is subject to these Terms and any applicable API documentation. Abuse, excessive requests, or unauthorized use of APIs may result in throttling, suspension, or termination of API access. We reserve the right to modify or discontinue API access at any time with reasonable notice.
8. AI AND THIRD-PARTY SERVICES
- Third-Party AI Models. The Services may utilize third-party AI models and service providers for language processing, speech recognition, natural language understanding, and related capabilities. We select and vet these providers with care, but their availability and performance are subject to their own terms and limitations.
- No Training on Customer Data. We do not use Customer Data to train general-purpose or shared AI models. We may fine-tune existing models solely as necessary to deliver and improve the Services for you, subject to your agreement and our Privacy Policy.
- AI Output Limitations. AI-generated outputs (including transcriptions, summaries, recommendations, and automated responses) are provided on a best-effort basis. They may contain errors, omissions, or inaccuracies. The Services are not a substitute for professional judgment, and you should not rely on AI outputs as the sole basis for decisions with legal, financial, medical, or safety implications.
- Third-Party Platform Dependencies. The Services integrate with telephony systems, cloud providers, and communication platforms operated by third parties. We do not control and are not liable for the availability, performance, security, or terms of such Third-Party Platforms.
9. INTELLECTUAL PROPERTY
- Buzzer IP. All intellectual property rights in the Services, including software, algorithms, models, interfaces, documentation, and trademarks, remain the exclusive property of Buzzer and its licensors.
- Customer Data. You retain all rights in Customer Data. We claim no ownership over content you provide. You grant us a limited, non-exclusive license to process Customer Data solely as necessary to provide the Services.
- Feedback. If you provide suggestions or feedback regarding the Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.
10. DATA PROCESSING AND SECURITY
- Data Processing Roles. Where we process personal data on your behalf, we act as a data processor and you act as the data controller (or equivalent terms under applicable law). Processing is performed in accordance with your instructions and our Privacy Policy.
- No Storage of Call Recordings. We do not store audio recordings of calls processed through the Services. Voice data is processed in real time for transcription, summarization, or AI agent interaction, and is not retained in audio form after processing is complete.
- Security Measures. We implement appropriate technical and organizational measures to protect Customer Data, consistent with industry standards and applicable law. Details of our security practices are available upon request.
- On-Premise Deployments. For On-Premise Deployments, you are responsible for the security, maintenance, and access controls of the infrastructure on which the Services operate. Our security obligations are limited to the software components we provide.
11. LIMITED USE LICENSE
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not duplicate, copy, resell, sublicense, reverse engineer, decompile, or disassemble any portion of the Services without our prior written consent.
12. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BUZZER NOR ITS SUPPLIERS, LICENSORS, OR THIRD-PARTY SERVICE PROVIDERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. INDEMNIFICATION
You shall indemnify, defend, and hold harmless Buzzer and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Services in violation of applicable law; (c) your failure to obtain required end-user consents; or (d) Customer Data processed through the Services.
15. TERM AND TERMINATION
- These Terms remain in effect for as long as you use the Services, unless otherwise specified in an Order.
- Either party may terminate for material breach if the breach remains uncured for thirty (30) days following written notice.
- We may suspend or terminate your access immediately if we reasonably believe your use violates these Terms or applicable law.
- Upon termination, your right to use the Services ceases immediately. We will make Customer Data available for export for thirty (30) days following termination, after which it may be deleted.
16. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws provisions. The exclusive jurisdiction for any dispute arising under these Terms resides in the competent courts located in Tel Aviv-Jaffa, Israel.
17. CHANGES TO THESE TERMS
We may amend these Terms at any time. Material changes will be communicated via email or through the Services with at least thirty (30) days' notice. Continued use of the Services after such notice constitutes acceptance of the amended Terms.
18. GENERAL PROVISIONS
- Entire Agreement. These Terms, together with the Privacy Policy, AI & Data Usage Transparency statement, and any applicable Order, constitute the entire agreement between you and Buzzer regarding the Services.
- Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
